Terms And Conditions

1. in these Terms: - Candidate

means the individual introduced to the Client by “RaaS RPO” (Recruitment as a Service RPO Ltd

Client

means the person; firm or corporate body together with any subsidiary or associated company to which the  Candidate is introduced;

RaaS RPO

means Recruitment as a Service RPO Ltd, whose registered office is at Unit 38, 33 Pipit Drive, London, SW15 3AW

Contingent Introduction

means the Introduction of a Candidate to the Client by “RaaS RPO” (Recruitment as a Service RPO Ltd) other than a Retained Introduction. No prior specific instruction from the Client is required to effect a Contingent Introduction;

Engagement

means the engagement, employment or use of the Candidate by the Client, whether under a contract of service or for services, partnership or otherwise and “Engages” and “Engaged” shall be construed accordingly;

Fee

 means the percentage of the Remuneration set out in the Schedule of Fees relating to the services provided by RaaS RPO” (Recruitment as a Service RPO Ltd) (or any other fixed amount agreed by the parties) in relation to an Introduction;

Introduction

means the Client’s interview of a Candidate in person or by telephone following the passing to the Client of a curriculum vitae or other information that identifies the Candidate. “Introduced” shall be construed accordingly;

Remuneration

means the aggregate gross annual taxable emoluments payable to or receivable by the Candidate pursuant to the Engagement, including salary, guaranteed bonuses and sign-on bonuses, or equivalent (contractual or otherwise) paid to the Candidate during the first year of the Engagement, or attributable to such period and paid subsequently. Where the salary or any other element of the package offered to the Candidate is expressed to be net (i.e. after deductions) then, for the purposes of calculating the Remuneration, this will be grossed up to reflect the value prior to tax or other deductions by a percentage agreed between RaaS RPO” (Recruitment as a Service RPO Ltd) and the Client, or failing agreement, by a factor of 66%; 

Schedule of Fees

means the Schedule of Fees shown on Page 2; and Unless the context otherwise requires, references to the singular include the plural and vice versa. References to clauses or schedules are references to clauses or schedules of these terms unless otherwise admitted.

2 .These terms regulate the basis upon which Introductions are affected by “RaaS RPO” (Recruitment as a Service RPO Ltd) and shall be deemed to be accepted by the Client upon the Client’s request for details of Candidates, interview with Candidates (whether by telephone or in person), independent contact with a Candidate introduced to the Client by RaaS RPO” (Recruitment as a Service RPO Ltd) or engagement of a Candidate whose details were submitted to the Client by RaaS RPO” (Recruitment as a Service RPO Ltd). 

3.The Fee shall be payable as follows

A.  25% of the Candidates yearly remuneration will be payable upon the Candidate accepting an offer of employment with the Client, either by signing a Letter of Acceptance, or Employment Contract or by indicating their acceptance to an Offer of Employment either verbally or in writing. 

B. The Client shall provide full details of a Candidate’s Remuneration to “RaaS RPO” (Recruitment as a Service  RPO Ltd) at the time of the Engagement.

C. The Fees will be invoiced, and will be payable, in British Pounds (GBP), unless otherwise agreed by “RaaS   RPO” (Recruitment as a Service RPO Ltd) and the Client. Where the Remuneration is expressed in a different   currency, the Fee will be based on the British Pound (£) equivalent, calculated according to the mid-point price  for such currencies published by The Bank of England on the date of the relevant invoice.

D. Extraordinary travel expenses for candidates to attend an interview either with “RaaS RPO” (Recruitment as a  Service RPO Ltd), or the Client will be charged to the Client. Extraordinary travel expenses for the consultant to  attend/conduct interviews outside the consultant’s place of work, as requested by the Client, will be charged to  the Client. All costs for medical screening requested by the Client, will be charged to the Client. Any expenses
incurred should “RaaS RPO” (Recruitment as a Service RPO Ltd) be required to assist with visas and work  permits will be charged to the Client. 

E. All amounts will be payable within 30 days of the date of the relevant invoice.
f. A 3 month guarantee for any placement made is offered. In the event of a candidate leaving during this period, “RaaS RPO” (Recruitment as a Service RPO Ltd) will provide a free replacement, or a credit note, depending on the client’s wishes.

 Note: At no time will any of the above expenses be incurred without the Client’s prior approval.

4.RaaS RPO(Recruitment as a Service RPO Ltd)

A.“RaaS RPO” (Recruitment as a Service RPO Ltd) endeavours to ensure the suitability of any Candidate introduced  to the Client by obtaining confirmation of the Candidate’s identity; that the Candidate has the experience, training,  qualifications and any authorisation which the Client considers necessary and has advised to “RaaS RPO” (Recruitment as a Service RPO Ltd) in writing in a job specification or otherwise or which may be required by law or by any    professional body; and that the Candidate is willing to work in the position which the Client seeks to fill.  

B . Notwithstanding clauses 5 (a), the Client shall satisfy itself as to the suitability of the Candidate and the Client shall take up any references provided by the Candidate to it or “RaaS RPO” (Recruitment as a Service RPO Ltd) before engaging such Candidate. The Client is responsible for obtaining work permits and/or such other permission to work as may be required, for the arrangement of medical examinations and/or investigations into the medical history of any Candidate and satisfying any medical and other requirements, qualifications or permission required by law of the country in which the Candidate is engaged to work. 

6. “RaaS RPO” (Recruitment as a Service RPO Ltd) shall not be liable to the Client for any loss, liability, damages, costs, claims or expenses suffered or incurred by the Client as a result of the negligence, dishonesty or misconduct of the Candidate or arising from, or connected with, the Engagement of a Candidate or the failure to introduce a suitable Candidate. 

7. Failure to pay any amount due within the time stated for payment will entitle “RaaS RPO” (Recruitment as a Service RPO Ltd) to charge interest at 4% per annum above SIBOR or any rate that may succeed or replace SIBOR from the due date until the date of payment.

 8. No variation or alteration of these terms shall be valid unless approved by an authorized representative of “RaaS RPO” (Recruitment as a Service RPO Ltd) in writing. The details of any variation to these terms shall be notified to the Client in writing by “RaaS RPO” (Recruitment as a Service RPO Ltd) as soon as reasonably practicable and such document shall confirm the date upon which the varied terms are to take effect.

 9. All invoices are subject to Goods & Services Tax, where applicable. 

10. These terms of business are governed by UK law and all disputes arising from these terms shall be subject to the exclusive jurisdiction of the UK Courts.
